Kwality Wall's (India) was incorporated as a public limited company under the Companies Act, 2013, under the name 'Kwality Wall's (India) Limited'. A certificate of incorporation dated January 10, 2025, was issued by the Registrar of Companies, Maharashtra, at Mumbai. Pursuant to the Scheme of Arrangement that became effective on December 1, 2025, the Ice Cream Business Undertaking of Hindustan Unilever Limited was demerged into the company on a going-concern basis. In consideration, the company issued new equity shares to the shareholders of Hindustan Unilever Limited in accordance with the provisions of the Scheme of Arrangement and the Share Entitlement Ratio specified therein.
